4. Client Obligations

You agree to provide all required content, information, and materials needed for project completion in a timely manner. Oaksys Ltd is not responsible for delays caused by the Client’s failure to provide necessary information.

 

4.2 Approvals and Sign-Offs

It is your responsibility to review and approve all work within the agreed timelines. Failure to provide feedback or approval within the agreed timelines will be considered as acceptance of the deliverable.

 

5. Fees and Payment Terms

5.1 Fees

All service fees will be specified in the initial proposal. Additional fees may be charged for additional services or changes beyond the agreed scope.

 

5.2 Payment Schedule

The payment schedule will be outlined in the proposal or invoice. We reserve the right to suspend services if payments are delayed or outstanding.

All design, code, and materials created by Oaksys Ltd remain our intellectual property until full payment is received. Upon full payment, the Client is granted a non-exclusive license to use the work for the agreed purposes.

If any third-party materials (e.g., stock images, software) are used, ownership and license rights will remain with the respective third-party suppliers.

 

7. Confidentiality

We respect the confidentiality of your business and project details. Any proprietary information shared with us will not be disclosed to third parties without your written consent, except where required by law.

 

8. Limitation of Liability

Oaksys Ltd will not be liable for any indirect, incidental, or consequential damages arising out of or in connection with our services, including but not limited to loss of revenue, loss of data, or loss of business opportunities.

You may terminate the agreement at any time by providing written notice. Fees for services completed up to the termination date will be due.

9.2 Termination by Company

We reserve the right to terminate services if there is a breach of these Terms or non-payment of fees. In such cases, any completed work will remain our property until full payment is received.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Amendments

Oaksys Ltd reserves the right to amend these Terms at any time. Clients will be notified of any significant changes via email or through our website.
